Please read these Terms of Use carefully before you start to use our website, applications and or our services (“Platforms”). By accessing our Platforms, you indicate that you accept these Terms of Use and that you agree to abide by them. If you do not agree to these Terms of Use, please do not use or access our Platforms.

2. Accessing Our Platforms

You must be at least 13 years of age to access and use our Platforms. By using our Platforms and creating an account, you confirm that you are at least 13 years of age.

Access to our Platforms are permitted on a temporary basis, and we reserve the right to withdraw or amend access to our Platforms without notice (see below). We will not be liable if, for any reason, our Platforms are unavailable at any time or for any period. From time to time, we may restrict access to some parts of our Platforms, or our entire Platforms to users who have registered with us. You are responsible for maintaining the confidentiality of your login details and any activities that occur under your account. If you have any concerns about your login details or believe they have been misused, you should contact us at privacy@archerstoolbox.co.uk immediately to let us know.

3. Acceptable Use

You may use our Platforms only for lawful purposes. You may not use our Platforms in any way that breaches any applicable local, national or international law or regulation or to send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards as provided below. You also agree not to access without authority, interfere with, damage or disrupt any part of our Platforms or any network or equipment used in the provision of our service.

4. Interactive Features

We may from time to time provide certain features which allow you to interact through our Platforms. We may remove content in contravention of these Terms of Use.

5. Content Standards

These content standards apply to any and all material which you contribute to our service (“Contributions”), and to any interactive services associated with it. You must comply with the following standards. Contributions must be accurate (where they state facts), be genuinely held (where they state opinions) and comply with applicable law.

Contributions must not:

  • contain any material which is defamatory, obscene, offensive, hateful or inflammatory, promote sexually explicit material or promote violence or promote discrimination based on race, sex, religion, nationality, disability, age, or sexual orientation;
  •  infringe any copyright, database right or trademark of any other person;
  •  be likely to deceive any person or be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence or promote any illegal activity;
  • be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person;
  •  be used to impersonate any person, or to misrepresent your identity or affiliation with any person or give the impression that they emanate from us, if this is not the case; or
  •  advocate, promote or assist any unlawful act (e.g. copyright infringement or computer misuse).

6. Suspension and Termination

Failure to comply with these Terms of Use, may result in our taking all or any of the following actions:

  •  immediate, temporary or permanent withdrawal of your right to use our Platforms;
  •  immediate, temporary or permanent removal of any posting or material uploaded by you to our Platform;
  •   us issuing a warning;
  •   legal action against you including proceedings for reimbursement of all costs on an (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
  •  disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

The responses described above are not limited, and we may take any other action we consider appropriate.

7. Intellectual Property Rights

We are the owner of or the licensee of all intellectual property rights in our Platforms/services, and in the material published on it (excluding your Contributions). Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use any content on our site in any way except for your own personal, non-commercial use.

8. Reliance

Commentary and other materials posted on our Platforms are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our Platforms, or by anyone who may be informed of any of its contents.

9. Updates

We may update our Platforms and may change the content at any time. If the need arises, we may suspend access to our Platforms, or close them indefinitely.

10. Liability

We have taken every care in the preparation of our Platforms. However, we will not be responsible for any errors or omissions in relation to such content or for any technical problems you may experience with our Platforms. If we are informed of any inaccuracies on our Platforms, we will attempt to correct this as soon as possible.

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, our liability for fraudulent misrepresentation, or any other liability which cannot be excluded or limited under applicable law.

We will under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with our Platforms (including the use, inability to use or the results of use our Platforms) for:

  • any loss of profits, sales, business, or revenue;
  • loss or corruption of data, information or software;
  • loss of business opportunity;
  • loss of anticipated savings;
  • loss of goodwill; or
  • any indirect or consequential loss.

Subject to above, our total liability to you in respect of all other losses arising under or in connection with our Platforms or your use of it, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed £100.

You assume full and sole responsibility for any additional or associated costs that you may incur in connection with or as a result of your use of our Platforms, including without limitation costs relating to the servicing, repair or adaptation of any equipment, software or data that you may own, lease, license or otherwise use.

12. Material

Any material you upload to our Platforms or data that we collect as set out above, will be considered non-confidential and non-proprietary, and you acknowledge and agree that we have the right to use, copy, distribute, sell and disclose to third parties any such material or data for any purpose related to our business. To the extent that such material is protected by intellectual property rights, you grant us a perpetual, worldwide, royalty-free licence to use, copy, modify, distribute, sell and disclose to third parties any such material or data for any purpose related to our business.

13. Links to other sites

Where our Platforms contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

14. General  

No failure or delay by us to exercise any right or remedy provided under these Terms or by law constitutes a waiver of that or any other right or remedy, nor will it prevent or restrict the further exercise of that or any other right or remedy.

You acknowledge and agree that in using our Platforms, you do not rely on, and have no remedies in respect of, any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms.

You agree that you will have no claim for innocent or negligent misrepresentation based on any statement in these Terms.

We may at any time assign, transfer, charge, sub-contract or deal in any other manner with all or any of our rights or obligations under these Terms but you may not assign or transfer your account or any rights under these Terms without our prior written consent.

We may from time to time change the content of our Platforms or suspend or discontinue any aspect, which may include your access to it.

We amend these Terms from time to time by updating them on our website. Every time you wish to use our Platforms, please check these Terms to ensure you understand the terms that apply at that time.

We reserve the right to bar users from our Platforms and/or restrict or disable their access or use of any or all elements of our services, on a permanent or temporary basis at our sole discretion.

We do not guarantee that our Platforms, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Platforms for business and operational reasons.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with English law. You can bring legal proceedings in respect of these Terms in the English courts. If you live in a part of the United Kingdom other than England, you can bring legal proceedings in respect of these Terms in either the English courts or the courts of your home country. 

15. Variations

These Terms are updated from time to time. By continuing to access or use our Platforms after the date of any update you will be deemed to have accepted the changes.
